By accepting these Terms and conditions you agree that if you are found to be sharing, distributing or providing shared access to content you will be charged for the price of the service multiplied by the number of people the content has been provided to and or shared with, each month, until those actions terminate.

YOU WILL ASSUME THE ENTIRE RISK AS TO THE QUALITY AND THE PERFORMANCE OF OUR SERIVCES AND THE ACCURACY OR COMPLETENESS OF THEIR CONTENT.
ANY MATERIAL DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF OUR SERVICES IS DONE AT YOUR OWN RISK AND DISCRETION AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA THAT RESULTS FROM THE USE OR DOWNOLAD OF SUCH MATERIAL.
Applicable law may not allow the limitation or exclusion of liability, incidental or consequential damages. In no event shall Serpent Stock, its affiliates, its suppliers, or its third party agents total liability to you for all damages, losses, and causes and action (whether in contract or tort, including but not limited to negligence) exceed the amount paid by you, if any, for accessing this site.
Subscription Payments and Refund Policy
Subscriptions to Serpent Stock are non-refundable due to the fact service provides access to proprietary information. You can cancel subscriptions anytime via your payment provider. It is your responsibility to cancel your subscriptions before your renewal due date.
By purchasing any services or materials from Serpent Stock, we do not make any guarantee regarding the continuation of any current features or functionality or delivery of any future features or functionality.
If you purchase a subscription to any Serpent Stock service or material, by authorizing us to charge a payment card for the fees associated with your subscription(s), you are authorizing us to automatically continue charging that card (or any replacement card issued by the card issuer) for all fees or charges associated with your subscription, including any renewal fees. Serpent Stock may at any time change any of its pricing, or institute new charges or fees. Price changes and new charges will be made public on our website. Any price changes or new charges announced during your subscription term for a service will apply to subsequent subscription terms. During the term of your subscription, you agree to inform Serpent Stock of any payment card information changes.
Your subscription(s) will be set to automatically renew upon expiration. This means unless you cancel your subscription prior to its expiration, your account will automatically renew for the same term.
If you cancel your subscription, you acknowledge and agree that any refunds will be at our sole discretion. Your obligations hereunder, including your obligation to pay amounts owed to us under these Terms for use or access to our services or materials, including subscriptions, shall survive expiration or termination of these terms and your cessation of use of Serpent Stock’s access or materials.
You are responsible for the payment of any taxes associated with the purchase of services or materials from Serpent Stock.
Cancellation or termination of your account, services or subscriptions by us shall not relieve you of any obligation to pay any accrued fees or charges. You may not access or use the Serpent Stock website or content after termination or notification of the same.
Disclaimer of Warranties
You agree that your use of our website and materials is at your sole risk and acknowledge that access to our services and anything contained therein, including, but not limited to, content, services, goods or advertisements (the “Items”) are provided “AS IS” and that Serpent Stock makes no warranty of any kind, express or implied, as to the Items, including, but not limited to, merchantability, noninfringement, title or fitness for a particular purpose or use. Serpent Stock does not warrant that our services are compatible with your equipment or that our website or services are free of errors or viruses and is not liable for any damage you may suffer as a result of such destructive features. You agree that Serpent Stock, its suppliers and its third-party agents shall have no responsibility or liability for any injury or damages, whether caused by the negligence of Serpent Stock, its employees, subcontractors, agents, suppliers or otherwise arising in connection with using Serpent Stock and shall not be liable for any lost profits, losses, punitive, incidental or consequential damages or any claim against Serpent Stock by any other party or any fault, inaccuracy, omission, delay or any other failure from Serpent Stock caused by your computer equipment or arising from your use of the Service on such equipment.
If any provision of the Terms is found invalid or unenforceable, that provision will be enforced to the maximum extent, and the other requirements of the Terms will remain in force.
Either you or Serpent Stock may terminate your subscription(s) at will, at any time and effective immediately. You may terminate Serpent Stock services by discontinuing use of your subscriptions(s) and destroying all materials obtained from use of service. Your subscription and any access to our website will terminate immediately without notice from Serpent Stock if you, at our sole discretion, fail to comply with any requirements of these terms. Upon termination by you or upon notice of termination by Serpent Stock, you must immediately destroy all materials obtained from your subscription(s) and any copies thereof. The termination of access to our website or any subscription does not impact the terms set forth herein, which shall continue beyond any termination of service.
Code of Conduct
In accessing or using Serpent Stock content or services , you may not:
- Upload, post or otherwise transmit any content that inhibits others, is sexually explicit, uncivil, abusive, vulgar, profane, obscene, hateful, fraudulent, threatening, harassing, defamatory, or which discloses private or personal matters concerning any person;
- Post or transmit any material that you don’t have the right to transmit under law (such as copyrights, trademarks,, securities or information regarding securities) or under contractual or fiduciary relationships
- Share, disseminate, or distribute any content, products, services, or materials available through your paid subscription
- Impersonate any person, or falsely state or otherwise misrepresent your affiliation with a person or entity;
- Send unsolicited or unauthorized advertisements, spam, chain letters, etc., to other visitors or members of Serpent Stock
- Violate any applicable law or regulation while accessing and using our sites, including, without limitation, the rules and regulations of any and all of Canada’s provincial and territorial governments, and the national or other securities exchanges
- Restrict or inhibit any other visitor or member from using and/or accessing Serpent Stock and it’s services
- Express or imply that any statements you make are endorsed by us, without our prior express written consent
- Publish any other visitor or members’ personally identifiable information
- Send spam or transmit any malware or viruses or other harmful computer code, files or programs that could damage our website, data, computers, or the same of any visitor or member of Serpent Stock
- Alter, adapt, sublicense, sell, reverse engineer, decompile or disassemble any portion of our websites or services
- Manipulate identifiers (such as, but not limited too, content, services, logos, trademarks or other data) in order to disguise the origin of any content transmitted through our sites or to manipulate your presence on our sites
- Use any automated means, including without limitation, any robot, spider, site search/retrieval application, or other manual or automatic device or process to download, retrieve, index, “data mine”, “scrape”, “harvest” or in any way reproduce or circumvent the navigational structure or presentation of our website or its contents
- Harvest or collect information about visitors or members of Serpent Stock without their express consent;
- Take any action that damages or disrupts the functionality of our systems or services
By accepting these terms and conditions you agree that if you are found to be in breach of the above Code of Conduct you agree to pay a penalty of $5,000 CAD per instance of breach, plus reasonable legal fees as applicable.
You are responsible for statements made and actions taken through the use of your login ID and password, so please maintain the confidentiality of your password. You agree to immediately notify Member Support of any actual or suspected unauthorized use of your login ID and password. We will not be responsible for any loss to you arising from unauthorized use of your login ID or password.
This disclaimer and the Terms shall be interpreted and enforced according to Provincial laws of British Columbia, without reference to conflicts of law rules, and the applicable federal laws of Canada.
The Terms are the entire agreement between you and Serpent Stock
To the maximum permitted by law, you agree to indemnify, defend, and hold harmless Serpent Stock, any affiliated parties, and licensors and each of their respective directors, officers, employees, contractors, and agents from and against any claim, liability, cost, damage or loss (including without limitation, legal fees) arising out of or related to your breach of these terms or any third party claims relating to your use of the services.
You are aware of and agree to that any and all disagreement or claim, whether at law or equity, rising out of or related to the provision of content or services by Serpent Stock, notwithstanding the date of such dispute, shall be resolved in its entirety individually, not class-wide or collectively, binding arbitration on the terms set out below:
Except as otherwise provided herein, any dispute between the parties arising out of this disclaimer and the Terms shall be submitted to the Vancouver International Arbitration Centre (“VIAC”) for arbitration in Vancouver, British Columbia, in accordance with its Commercial Arbitration Rules and the Supplementary Procedures for Consumer-Related Disputes. The fees of the arbitration, including any VIAC administration costs, the arbitrator’s charges, and costs for the use of facilities during the hearings, shall be accepted equally by the parties to the arbitration. Judgment on the award may be entered in any court of competent jurisdiction. Legal fees may be awarded to the prevailing or most prevailing party at the discretion of the arbitrator. The arbitrator shall not have any power to alter, amend, modify or change any of the terms of the Terms nor to grant any award or request any action which is prohibited by the Terms. The arbitrator shall not have the power to make any award or grant any remedy on the basis of equity.
Notwithstanding anything to the contrary in the VIAC Rules, you and we agree that the filing of arbitration, the arbitration proceeding, any documents exchanged or produced during the arbitration proceeding, any briefs or other documents prepared for the arbitration, and the arbitral award shall all be kept fully confidential and shall not be disclosed to any other party, except to the extent necessary to enforce this arbitration provision, arbitral award or other rights of the parties, or as required by law or court order. This confidentiality provision does not foreclose the VIAC from reporting certain consumer arbitration case information as required by provincial law.
Actions of Recourse
We may pursue injunctive or other relief in any provincial, federal, or national court for any actual or alleged infringement of our, our affiliates, or any third-party’s intellectual property or other proprietary rights. You and Serpent Stock agree to submit to the personal and exclusive jurisdiction of the federal and provincial courts located within Vancouver, Canada, and waive any jurisdictional, venue, or inconvenient forum objections to such courts
We are owned and operated within Canada. This website is intended for use only by persons residing within Canada. If you access this website from any location other than Canada, you are fully responsible for compliance with the laws of the jurisdiction from which you access. We do not make any representation that our website or the content available on it is appropriate or permitted for use outside of Canada and you may not use it where access and/or use of this website is prohibited or violates any non-Canadian law.
Serpent Stock content and services are not intended for children under the age of 18. By accessing or using our website, you confirm that you are at least 18 years of age.
At Serpent Stock we are committed to transparency regarding the stocks and securities we cover. We will always disclose when any employee owns a particular stock or security we have presented.
We also confirm that we are not sponsored by any companies we present to our members. If, for any reason, this should hold to be not true on a given stock or security there will be very clear communication towards our members with access to the particular research and guidance provided.
